These Terms of Use (“Terms”) govern your use of the Taled website, apps, and related services (the “Platform”). By creating an account or using Taled, you agree to these Terms.
If you do not agree, please do not use the Platform.
1. What Taled is (and is not)
Taled is an Australian peer-to-peer marketplace for preloved physical books. We help readers find books and connect with the people selling them.
•
Taled is an intermediary. We provide listing tools, search, messaging, and payment processing through our payment provider, Stripe (Stripe Connect).
•
We provide an introduction service and act as a passive conduit between users. We are not your agent (or the other user’s agent) for the book sale.
•
When you buy a book listed by another user, you buy from that seller, not from Taled.
•
The contract for the book is between buyer and seller. Taled is not a party to that sale contract and does not personally offer, endorse, or recommend particular user listings.
•
Taled is not the seller of record and not a retailer of the books users list, unless we clearly label an offer as sold by Taled.
•
We do not own, warehouse, authenticate, or personally inspect books listed by users. Condition and authenticity judgements are between buyer and seller, subject to Platform rules and the ACL where it applies.
2. Who can use Taled
•
You must be at least 16 years old to create an account.
•
If you are under 18, you should only use Taled with a parent or guardian’s involvement as appropriate.
•
You must provide accurate account information and keep it up to date.
•
You are responsible for activity under your account. Keep your login details safe.
We may refuse, suspend, or close accounts where we reasonably believe these Terms or the law have been broken.
3. Your relationship with other users
•
Sellers set their own prices, condition grades, photos, and postage (including optional combined postage for more than one book).
•
Buyers and sellers should use in-app chat to clarify details and resolve issues early.
•
Taled is not a party to your private messages, except as needed to operate, secure, or moderate the Platform, or as required by law.
4. Listings and user content
Users create listings, photos, descriptions, messages, and other content (“User Content”).
•
You keep ownership of your User Content, but you grant Taled a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and use it to operate and promote the Platform.
•
You promise that your User Content is lawful, that you have the rights to post it, and that it does not infringe others’ rights.
•
We do not warrant that listings are accurate, complete, or current. Buyers should read descriptions and photos carefully.
Copyright and take-down
If you believe a listing or photo infringes your copyright or other IP, email
support@taled.com.au with:
•
a description of the work and where it appears on Taled;
•
a statement that you believe the use is not authorised; and
•
a good-faith declaration that the information is accurate.
We may remove or disable access to material while we review a notice, and we may tell the poster. Repeat or serious infringement may lead to account action.
5. Buying and selling
Buying isn't switched on yet. You can list now, and buyers can browse, but no one can pay until we open sales. We'll email you first. Until then there are no fees, and you're free to sell your books elsewhere. Just remove or edit the listing if you do.
•
Sellers must follow the
Seller Terms, including honest condition grades, real-copy photos, and accurate postage.
•
Payments are processed by Stripe through Stripe Connect. Stripe’s terms also apply to payment processing. Sellers must set up payouts with Stripe (and accept Stripe’s Connected Account Agreement) to receive payouts.
•
Payouts. For posted orders, we hold the buyer’s payment through Stripe only until the seller is paid. The seller is paid when they mark the order as posted in the app, or when the buyer confirms it arrived, whichever happens first, and the payout is then released through Stripe. For local pickup orders, we hold the buyer’s payment through Stripe until the handover is confirmed, then release it to the seller. The handover is confirmed when the seller enters the buyer’s handover code, when the buyer taps “I’ve got my book”, or automatically 3 days after the seller taps “I’ve handed it over”, unless the buyer reports a problem first. Apart from these short holds, there’s no standing escrow, and we don’t keep the money until the buyer says they’re happy. If a book doesn’t arrive, is faulty, or is significantly not as described, buyers can use our dispute process, even after the seller has been paid. Limited payment holds or reversals may still occur under Stripe’s rules for fraud or risk. We also hold a payout that hasn’t been released yet while the buyer has a card dispute (a chargeback) open with their bank. On a posted order, a claim raised with Taled doesn’t pause the payout. On a local pickup order, the buyer tapping “Report a problem” before release pauses it while we look into it.
•
Refunds on upheld claims: if we uphold a buyer’s claim under our Buyer Protection and Refunds policy, the buyer gets the book price and any postage they paid back through Stripe, even if the seller has already been paid. We recover the amount from the seller where Stripe’s rules allow, including by reversing a payout already released or deducting it from the seller’s future payouts. Taled covers any shortfall we can’t recover, and we may still ask the seller to repay it.
•
Title and risk (buyer and seller): for a posted order, unless you agree otherwise in chat, title to a purchased book passes to the buyer when payment for that order is successfully completed, and risk of loss or damage in transit sits with the party responsible under your postage arrangement and carrier rules after the seller posts the parcel. For a local pickup order, title and risk pass to the buyer at handover. Taled is not the carrier and is not an insurer of parcels. Prefer tracked postage for higher-value books.
Fees
•
Seller fee: 10% of the book price for each order, with a minimum of 50c per order. It is deducted from the seller’s payout. It is not charged on postage.
•
Order: an order means the books bought from one seller in one checkout.
•
Buyer protection fee: a flat $1.49 per order, paid by the buyer. It is shown as a separate “Buyer protection” amount on the listing, in the cart, and at checkout before payment. It pays for payment processing through Stripe and Taled’s dispute process under our
Buyer Protection and Refunds policy. It does not replace, limit, or exclude any consumer guarantee, right, or remedy under the Australian Consumer Law.
•
Buyer protection fee refunds: once an order is paid, the $1.49 is not refundable, including when a claim is upheld, because it pays for payment and dispute handling already provided. This applies except where the law says otherwise, and except in these cases where we refund the $1.49 with the rest of the order: (a) the seller cancels the whole order before posting it or, for a local pickup order, before handover, so nothing in that order reaches the buyer; or (b) we uphold a buyer’s report that a pickup seller didn’t turn up or wouldn’t hand over the book; or (c) a local pickup order cancels automatically under the pickup window below, unless we find the buyer didn’t turn up. If only part of an order is cancelled and the buyer still receives the rest, the $1.49 is not refunded. Each seller’s order carries its own $1.49, so a seller cancelling their whole order refunds only that order’s fee.
•
Local pickup window and auto-cancel: a local pickup must happen within 14 days of the order, and the pickup the buyer and seller agree must fall within those 14 days. If, within that time, the handover code isn’t entered, the buyer hasn’t tapped “I’ve got my book” and the seller hasn’t tapped “I’ve handed it over”, the order cancels automatically. The seller isn’t paid and isn’t charged the seller fee. If a pickup isn't handed over within 14 days of payment, we cancel the order and refund the buyer in full, including buyer protection. If we find the buyer didn't turn up, we may not refund buyer protection.
•
Postage: set by the seller and paid by the buyer on top of the book price. It is passed to the seller in full. No Taled fee applies to postage. No postage applies to a local pickup order.
•
Founding sellers: the first 50 sellers who finish setting up payouts with Stripe and publish a listing are founding sellers, and we confirm founding status by email. Founding sellers pay no seller fee on posted or pickup orders placed from the time they become a founding seller until 12 months after the date we send that confirmation email. After that, the standard seller fee applies. The buyer protection fee still applies to their sales. Founding status ends if the account is deleted, and a suspension does not pause or extend the 12 months.
•
Payment processing costs: Stripe’s processing costs come out of Taled’s fees. Sellers are not charged a separate processing fee.
•
Refunded sales: the seller fee is not charged on an order that is cancelled or fully refunded.
•
GST: fees are in Australian dollars and include GST if GST applies.
•
Changes: see Changes to fees below for how and when fees can change.
Current fees and worked examples are on the
Fees page. For example, on a $12.00 book with $8.00 postage the buyer pays $21.49, and the seller receives $18.80 ($12.00 less the $1.20 seller fee, plus $8.00 postage). On the same $12.00 book collected by local pickup, the buyer pays $13.49 and the seller receives $10.80 ($12.00 less the $1.20 seller fee).
Changes to fees
1.
We can lower or waive fees for any seller, for any period, at our discretion. A lower fee for one seller doesn't change anyone else's fees.
2.
We can raise fees or add new ones. If we do, we'll tell you by email and in the app at least 30 days before the change starts.
3.
A fee change never applies to a sale made before it starts. An order a buyer has already paid for keeps the fees that applied when they paid.
4.
If you don't agree to a fee increase, you can close your account before it starts and you won't pay the new fee. Any open orders finish at the old fees.
5.
Founding sellers keep their 12 fee-free months, even if fees change during that time.
6. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law (ACL) or other laws that cannot be excluded.
•
For the Platform service Taled supplies to you, consumer guarantees may apply to that service.
•
For books sold by users, ACL consumer guarantees may apply where the seller supplies goods in trade or commerce (for example, a business or regular commercial seller). A private person selling a few books from a home shelf may be in a different position. We explain this further in our Buyer Protection and Refunds policy, without claiming to decide every case for you.
•
Where we are allowed to limit remedies for a failure to comply with a consumer guarantee for goods or services that are not of a kind ordinarily acquired for personal, domestic, or household use, our liability may be limited to resupply of the services or payment of the cost of resupply.
7. Prohibited conduct
You must not:
•
mislead buyers or sellers (including fake condition, stock photos of a different copy when you claim real-copy photos, or bait pricing);
•
harass, threaten, or scam other users;
•
scrape, overload, or reverse-engineer the Platform in unauthorised ways;
•
use Taled for unlawful purposes;
•
bypass fees, suspensions, or security measures; or
•
pressure other users into
off-platform payment to avoid Platform fees, dispute tools, or payment protections (see our
Community Guidelines).
•
We aim to keep Taled available, but we do not guarantee uninterrupted or error-free service.
•
We may change features, these Terms, or related policies. For material changes we will give reasonable notice (for example in-app or by email), and at least 30 days’ notice for fee changes. Continued use after the effective date may mean you accept the update. Where Seller Terms change materially, sellers may need to re-accept before listing again.
9. Disclaimers
To the fullest extent permitted by law (and subject always to the ACL and non-excludable rights):
•
the Platform is provided on an “as is” and “as available” basis;
•
we do not promise that any listing is accurate or that any particular buyer or seller will complete a transaction; and
•
user-generated content is the responsibility of the users who post it.
This doesn’t limit our commitment in section 5 to refund upheld buyer claims.
10. Limitation of liability
To the fullest extent permitted by law, and subject always to non-excludable ACL rights:
•
Taled and its officers, employees, and agents are not liable for indirect, incidental, special, consequential, or pure economic loss arising from your use of the Platform or from transactions between buyers and sellers;
•
our total aggregate liability arising out of or in connection with the Platform or these Terms is limited to the greater of (a) fees you paid to Taled for the Platform in the 12 months before the claim, or (b) AUD $100.00, except where a non-excludable guarantee requires otherwise.
This does not limit liability for fraud or other liability that cannot be limited by law, and it does not reduce the refunds we give on upheld buyer claims under section 5.
11. Indemnity
You agree to indemnify Taled against reasonable losses, costs, and expenses (including legal costs on a solicitor-client basis where appropriate) arising from your breach of these Terms, your User Content, your listings or sales, or your misuse of the Platform, except to the extent caused by our negligence or wrongdoing.
12. Suspension and termination
We may suspend or terminate access if we reasonably believe you have broken these Terms, harmed other users, created legal or payment risk, or as required by law or our payment provider. You may stop using Taled and request account closure by contacting
support@taled.com.au, subject to open orders, disputes, or legal holds.
13. Force majeure
We are not liable for delays or failures caused by events beyond our reasonable control (for example natural disasters, war, major outages, epidemics, or government actions).
14. Disputes between you and Taled
Before starting court proceedings against Taled:
2.
Allow us a reasonable time to respond and try to resolve it (usually at least 14 days from a complete complaint).
3.
If needed, we may suggest mediation or another low-cost resolution step.
This does not stop you seeking urgent court relief where genuinely required, or using regulators (for example the OAIC for privacy, or ACL regulators for consumer issues).
While a dispute is open, we hold the payout for that order, and pause its pickup timer, until the dispute is resolved. You also can't delete your account while a dispute is open.
15. Governing law
These Terms are governed by the laws of Queensland, Australia. Courts of Queensland (and Commonwealth courts with jurisdiction) may hear disputes, subject to any non-excludable consumer rights about where you can bring a claim.
16. General
•
If a part of these Terms is unenforceable, the rest still applies.
•
These Terms, plus the policies linked from them (Privacy Policy, Seller Terms where you sell, Buyer Protection and Refunds, Fees,
Prohibited and Restricted Listings,
Community Guidelines, and our cookie notice), form the main agreement between you and Taled for Platform use.
•
We may assign our rights to a successor operator (for example a company we set up to run Taled). We’ll tell you if that happens. You may not assign your account without our consent.
